1. Definitions

In these Terms, the following words and phrases shall have the meanings set out below:

• "We", "Us", "Our", "Green Boat Engines" refers to Green Boat Engines, a business registered in the Netherlands, with its principal place of business at 3631 NP Nieuwersluis, The Netherlands.
• "You", "Your", "Customer" refers to any person, business, or entity that accesses this Website, creates an account, or places an order with Green Boat Engines.
• "Website" refers to the website accessible at https://greenboatengines.nl and all associated subdomains, pages, and services.
• "Products" refers to all goods offered for sale on the Website, including but not limited to marine engines (outboard, inboard, diesel, gasoline), generators, transmissions, pumps, parts, accessories, and related equipment.
• "Services" refers to all services offered by Green Boat Engines, including but not limited to engine repair, overhaul, maintenance, winterization, installation, rigging, diagnostics, and consultation.
• "Order" refers to a request by You to purchase Products or Services from Us through the Website, by telephone, by email, or in person.
• "Contract" refers to the legally binding agreement formed between You and Us when We accept Your Order.
• "Working Day" means any day other than a Saturday, Sunday, or Dutch public holiday.
• "Business Customer" means a Customer who is purchasing Products or Services for business, commercial, or resale purposes, and who provides a valid VAT/BTW number at the time of Order.
• "Consumer" means a Customer who is a natural person acting for purposes which are outside their trade, business, craft, or profession.

2. Acceptance of Terms

By accessing, browsing, or using this Website, You acknowledge that You have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, Cookie Policy, and Refund & Returns Policy, all of which are incorporated into these Terms by reference.

If You are using this Website on behalf of a business or other legal entity, You represent and warrant that You have the authority to bind that entity to these Terms. In such case, "You" and "Your" shall refer to that entity.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion, including but not limited to cases where We believe that Your conduct violates applicable law or is harmful to Our interests or the interests of other users.

These Terms do not affect Your statutory rights as a Consumer under Dutch or EU law, including the rights granted under the EU Consumer Rights Directive (2011/83/EU) and the Dutch Civil Code (Burgerlijk Wetboek). To the extent that any provision of these Terms is found to be inconsistent with mandatory consumer protection law, the mandatory law shall prevail.

3. Use of the Website

You may use this Website only for lawful purposes and in accordance with these Terms. You agree not to use this Website:

• In any way that violates any applicable local, national, or international law or regulation
• To transmit, or procure the sending of, any unsolicited or unauthorised advertising, promotional material, spam, or any other form of solicitation

• To attack the Website via a denial-of-service attack or a distributed denial-of-service attack
• To use any robot, spider, scraper, or other automated means to access the Website for any purpose without Our express written permission
• To systematically extract or reuse any parts of the Website or its content, including product listings, prices, descriptions, or images, for commercial purposes without Our written consent

We reserve the right to investigate and take appropriate legal action against anyone who, in Our sole discretion, violates this provision, including without limitation, reporting You to law enforcement authorities.

Website Availability

We make reasonable efforts to ensure that the Website is available at all times. However, We do not guarantee that the Website will be uninterrupted, timely, secure, or error-free. We may suspend, withdraw, discontinue, or change all or any part of the Website without notice. We will not be liable to You if for any reason the Website is unavailable at any time or for any period.

We may restrict access to some parts of the Website, or the entire Website, to users who have registered with Us or to certain categories of users.

To access certain features of the Website, including placing orders, tracking shipments, and viewing order history, You may be required to register for an account. When You register, You agree to:

We are not liable for any loss or damage arising from Your failure to comply with the above requirements.

5. Products, Pricing, and Availability

Product Descriptions and Specifications

We make every effort to display as accurately as possible the colours, features, specifications, and details of the Products available on the Website. However, We do not guarantee that the colours, features, specifications, and details of the Products will be accurate, complete, reliable, current, or free of error. Your device's display may not accurately reflect the actual colours and details of the Products.

All dimensions, weights, horsepower ratings, fuel consumption figures, and performance data are provided by the manufacturer or derived from manufacturer specifications. We do not independently verify all technical data. If You require specific technical confirmation for a critical application, please contact Us before placing Your Order.

Product images are for illustrative purposes only. The actual Product may vary slightly from the image shown, particularly in the case of reconditioned engines, which may have cosmetic differences from new units.

Pricing

All prices displayed on the Website are in Euros (EUR) unless otherwise stated. Prices are inclusive of Dutch VAT (BTW) at the applicable rate (currently 21%) for deliveries within the Netherlands and to EU member states, unless You are a Business Customer with a valid EU VAT number eligible for reverse-charge VAT.

For deliveries to non-EU countries, prices are displayed exclusive of VAT. You are responsible for paying any applicable import duties, VAT, or GST in Your destination country. See our Shipping & Delivery Policy for details.

We reserve the right to change prices at any time without prior notice. Prices displayed at the time You place Your Order are the prices that will apply to that Order. We will not increase the price of Products after You have placed an Order, except where the price increase is due to:

• Changes in the rate of VAT or other taxes
• Changes in the manufacturer's recommended retail price
• Changes in shipping costs due to carrier rate increases or fuel surcharges
• Changes in currency exchange rates (for Products priced in foreign currencies)

In the event of a price increase after You have placed an Order, We will contact You to confirm whether You wish to proceed at the new price or cancel Your Order with a full refund.

Availability

All Products are subject to availability. We update our stock levels regularly, but occasionally an item may become unavailable after You have placed an Order. If a Product is out of stock or discontinued, We will notify You as soon as possible and offer one of the following options:

• A full refund of the amount paid for the unavailable Product
• Substitution with a comparable Product of equal or greater value (with Your consent)
• Backorder with an estimated restock date (if You agree to wait)

We are not liable for any loss or damage arising from the unavailability of any Product.

Errors and Omissions

In the event that a Product is listed at an incorrect price or with incorrect information due to a typographical error, error in pricing, error in product information received from the manufacturer, or any other reason, We reserve the right to refuse or cancel any Orders placed for that Product. If Your credit card or other payment method has already been charged for the purchase and Your Order is cancelled, We will issue a full refund to the original payment method.

6. Orders and Payment

Placing an Order

You may place an Order through the Website, by telephone, by email, or in person at Our facility. By placing an Order, You are making an offer to purchase the Products or Services specified in Your Order, subject to these Terms.

All Orders are subject to acceptance by Us. We will confirm acceptance of Your Order by sending You an order confirmation email ("Order Confirmation"). The Contract between You and Us is formed when We send the Order Confirmation. If We are unable to accept Your Order, We will notify You and refund any payment already made.

We reserve the right to refuse or cancel any Order for any reason, including but not limited to:

• Product unavailability
• Errors in product description or pricing
• Suspicion of fraud, unauthorised activity, or violation of these Terms
• Export control restrictions or sanctions compliance
• Failure to provide required documentation (e.g., EORI number, VAT number for Business Customers)
• Previous unpaid orders or unresolved disputes

Payment Methods

We accept the following payment methods:

Payment Terms

• Standard orders: Full payment is required at the time of Order.
• Factory orders / custom builds: A deposit of 50% is required at the time of Order, with the balance due before dispatch.
• Large engine orders (over €10,000): We may require a deposit of 25–50% at the time of Order, with the balance due before dispatch. We will notify You of the deposit requirement when We confirm Your Order.
• Invoice terms (Business Customers): Payment is due within 30 days of the invoice date. Late payments are subject to interest at the statutory rate under Dutch law (currently 8% per annum for commercial transactions, plus the European Central Bank reference rate).

Payment Security

We use industry-standard encryption (TLS 1.2 or higher) to protect Your payment information during transmission. All payment processing is handled by PCI-DSS Level 1 compliant third-party providers (Mollie, Stripe, PayPal). We do not store Your full credit or debit card numbers on Our servers.

If We suspect fraudulent payment activity, We reserve the right to cancel the Order, refuse further Orders, and report the activity to the relevant authorities and payment providers.

Currency and Exchange Rates

All transactions are processed in Euros (EUR). If Your payment method is denominated in another currency, Your bank or card issuer will convert the amount at their prevailing exchange rate, which may include a conversion fee. We are not responsible for any currency conversion fees charged by Your bank or payment provider.

7. Shipping and Delivery

All shipping and delivery terms are governed by our Shipping & Delivery Policy, which is incorporated into these Terms by reference. Please review the Shipping & Delivery Policy for full details on shipping zones, costs, delivery times, packaging, tracking, insurance, and international customs requirements.

Key points from the Shipping & Delivery Policy:

• Free shipping is available for all orders delivered within the Netherlands. No minimum order value applies.
• For all other destinations, shipping costs are calculated at checkout based on Your delivery address, the weight and dimensions of Your Order, and the selected shipping method.
• Delivery times are estimated from the date of dispatch and vary by destination. Within the Netherlands: 1–5 Working Days. All other countries: 1–4 weeks.
• All shipments are fully insured against loss and damage during transit.
• You are responsible for providing accurate delivery information, including full address, contact details, and any special delivery instructions (e.g., marina name, dock number, offloading equipment requirements).
• For non-EU deliveries, You are responsible for any import duties, customs clearance fees, and local VAT/GST. We provide all necessary export documentation.

We are not liable for delays in delivery caused by events beyond Our reasonable control, including but not limited to: carrier delays, customs delays, severe weather, natural disasters, strikes, pandemics, or government restrictions. See Section 17 (Force Majeure) for further details.

8. Risk and Title

Risk of Loss

The risk of loss and damage to Products passes to You upon delivery of the Products to the address specified in Your Order, or upon collection by You or Your designated carrier from Our facility. "Delivery" is deemed to have occurred when the carrier records the Products as delivered (e.g., signed delivery receipt, depot collection confirmation, or GPS delivery confirmation).

Until delivery, the risk of loss remains with Us. If Products are lost or damaged in transit, We will file an insurance claim with the carrier and either replace the Products or refund Your payment, at Our discretion.

Title and Ownership

Title to the Products remains with Green Boat Engines until We have received full payment of all sums due in respect of the Order, including the purchase price, shipping costs, and any applicable taxes or fees.

If You are a Business Customer and payment is made on invoice terms (30 days), title passes upon delivery, but We retain a lien over the Products until payment is received in full. If payment is not received within the agreed terms, We reserve the right to recover the Products or claim payment through legal proceedings.

For Consumers, title passes upon delivery regardless of payment timing, in accordance with Dutch consumer protection law.

9. Returns, Refunds, and Cancellations

All returns, refunds, and cancellations are governed by our Refund & Returns Policy, which is incorporated into these Terms by reference. Please review the Refund & Returns Policy for full details on return windows, conditions, restocking fees, warranty claims, and the return process.

Key points from the Refund & Returns Policy:

• Change of mind: You may return unused Products in original packaging within 14 days of receipt. No restocking fee applies. Return shipping is at Your expense.
• Defective or incorrect Products: Report within 14 days of receipt. We will provide a full refund (including original shipping) or replacement at no cost to You. We pay return shipping.
• Warranty claims: Covered under the warranty terms specific to each Product. See Section 10 and the Refund & Returns Policy for warranty periods and claim procedures.
• Custom-built, crate, and special-order engines: Non-returnable for change of mind. Cancellation fees may apply if the Order is cancelled after work has begun.
• Order cancellation before dispatch: Full refund, no fee, for in-stock items. Factory orders and custom builds may carry a cancellation fee of 25–50%.

Your right to cancel an Order as a Consumer under the EU Consumer Rights Directive (14-day cooling-off period for distance contracts) is not affected by these Terms. See the Refund & Returns Policy for details on how to exercise this right.

10. Warranty

All Products sold by Green Boat Engines are covered by warranty as specified in our Refund & Returns Policy and in any warranty documentation provided with the Product. Warranty terms vary by Product type and manufacturer. Please refer to the Refund & Returns Policy for a complete table of warranty periods and coverage.

Key warranty principles:

• New Products: Carry the manufacturer's standard warranty, typically 12–24 months from the date of purchase or date of first use, depending on the manufacturer.
• Reconditioned Products: Carry a 12-month warranty from Green Boat Engines covering defects in materials and workmanship.
• Used / second-hand parts: Carry a 30-day functionality warranty only.
• Accessories and consumables: Carry a 30-day manufacturing defect warranty. Normal wear and tear is not covered.

Warranty coverage is subject to proper installation, maintenance, and use in accordance with the manufacturer's instructions and Our service recommendations. Warranty does not cover damage caused by improper installation, misuse, modification, neglect, use of incorrect fluids, racing or competition use (unless the Product is specifically rated for such use), or normal wear and tear.

To make a warranty claim, contact Us at help@greenboatengines.nl with Your order number, Product details, and a description of the fault. We will evaluate the claim and provide instructions for return or inspection.

11. Limitation of Liability

Nothing in these Terms shall limit or exclude Our liability for:

• Death or personal injury caused by Our negligence or the negligence of Our employees, agents, or subcontractors
• Fraud or fraudulent misrepresentation
• Breach of the terms implied by the Dutch Civil Code (Burgerlijk Wetboek) regarding title and quiet possession
• Any other liability that cannot be limited or excluded under applicable law

Products

Subject to the above, Our total liability to You in respect of any Order, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the total amount paid by You for the Products and Services under that Order.

We will not be liable for:

• Consequential, incidental, or indirect damages, including but not limited to: loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of use of Your vessel, loss of charter income, towing costs, marina fees, or damage to other vessel systems or property
• Installation, rigging, commissioning, or removal costs, unless explicitly covered under the Product warranty or a separate written agreement
• Damage arising from improper installation, misuse, modification, or neglect by You or a third party
• Damage caused by the marine environment, including saltwater corrosion, electrolysis, lightning strike, grounding, collision, or storm damage, unless the Product is proven defective in materials or workmanship
• Damage caused by use of incorrect or substandard fluids, fuels, or lubricants
• Damage caused by operation beyond the Product's rated capacity or specifications

Services

For Services (repair, overhaul, maintenance, installation, etc.), Our liability is limited to the value of the Services performed. We are not liable for any damage to Your vessel, engine, or equipment that occurs after the Services are completed, unless the damage is directly caused by Our negligence and is reported within 14 days of completion of the Services.

Website

We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses, or other technologically harmful material that may infect Your computer equipment, computer programs, data, or other proprietary material due to Your use of the Website or to Your downloading of any material posted on it, or on any website linked to it.

12. Intellectual Property

All intellectual property rights in and to the Website and its content (including text, images, videos, logos, software, and design) are owned by Green Boat Engines or Our licensors. These Terms do not grant You any rights to use Our intellectual property except as necessary for Your personal, non-commercial use of the Website.

You may not:

Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

These Terms are also subject to the EU Consumer Rights Directive (2011/83/EU), the EU General Data Protection Regulation (2016/679), and other applicable EU regulations. For Consumers, mandatory provisions of Dutch and EU consumer protection law shall prevail over any conflicting term in these Terms.

Jurisdiction

For Business Customers, any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Amsterdam, The Netherlands. You hereby consent to the personal jurisdiction and venue of such courts.

For Consumers, legal proceedings may be brought in the courts of Your country of residence or in the Netherlands, in accordance with EU jurisdictional rules (Regulation (EU) No 1215/2012 — Brussels I bis).

Alternative Dispute Resolution

We are committed to resolving disputes amicably and efficiently. Before initiating any legal proceedings, We encourage You to contact Us directly to attempt to resolve the dispute informally. Most disputes can be resolved quickly through direct communication.

For Consumers in the EU, the European Commission provides an Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. You may use this platform to submit a complaint about an online purchase. We are not obligated to use the ODR platform, but We are willing to participate in good faith.

17. Force Majeure

We will not be liable or responsible for any failure to perform, or delay in performance of, any of Our obligations under these Terms or under a Contract that is caused by an event outside Our reasonable control ("Force Majeure Event"). A Force Majeure Event includes any act, event, non-happening, omission, or accident beyond Our reasonable control and includes in particular (without limitation) the following:

• Strikes, lock-outs, or other industrial action
• Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not), or threat or preparation for war
• Fire, explosion, storm, flood, earthquake, subsidence, epidemic, pandemic, or other natural disaster
• Impossibility of the use of railways, shipping, aircraft, motor transport, or other means of public or private transport
• Impossibility of the use of public or private telecommunications networks
• The acts, decrees, legislation, regulations, or restrictions of any government
• Export controls, sanctions, embargoes, or trade restrictions
• Failure of a supplier, manufacturer, or carrier to perform their obligations

Our obligations under these Terms or under a Contract are suspended for the period that the Force Majeure Event continues, and We will have an extension of time for performance for the duration of that period. We will use Our reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which Our obligations under these Terms or the Contract may be performed despite the Force Majeure Event.

If a Force Majeure Event prevents Us from performing Our obligations for a continuous period of more than 60 days, either party may terminate the Contract by written notice. In such case, We will refund any payments already made by You for Products or Services that have not been delivered or performed.

18. Severability

If any provision of these Terms is held by a court or regulatory authority of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

The invalidity of any provision of these Terms shall not affect the validity of the remaining provisions, which shall remain in full force and effect. If any invalid, unenforceable, or illegal provision would be valid, enforceable, or legal if some part of it were deleted, the provision shall apply with the minimum modification necessary to make it valid, legal, and enforceable.

19. Changes to These Terms

We may revise and update these Terms from time to time in Our sole discretion. All changes are effective immediately when We post them on the Website and apply to all access to and use of the Website thereafter.

When We make material changes to these Terms, We will:
